These Terms and Conditions (“Terms”) govern your use of the website www.thoughtxn.com, including associated microsites and subdomains (collectively, the “Site”), operated by Thought Xchange Network (“we,” “our,” or “us”). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, you may not use the Site.

1. Our Services

Thought Xchange Network organizes and promotes business summits, conferences, and related networking services. Through our Site, we provide:

  • Information about upcoming and past events

  • News Digest subscriptions and event updates

  • Microsites for specific events with detailed agendas and speaker information

  • Ticket sales and registration forms for events

  • Integration with third-party services for calendar tools, payments, and analytics

  • Virtual event participation options for global users

Some of our operational, technical, or support services may be outsourced to trusted third-party vendors, including affiliated partners located outside of the United States, Canada, and the European Economic Area. These international operations are carried out in compliance with applicable data protection laws, including the General Data Protection Regulation (GDPR), and under strict confidentiality and contractual safeguards.

2. User Accounts and Subscriptions

You may access some portions of the Site without registration. However, to participate in certain features (such as subscribing to updates, saving events to your calendar, or purchasing tickets), you may be required to:

  • Provide accurate and complete personal information

  • Maintain and update this information as needed

  • Not impersonate any person or entity, or misrepresent your affiliation

We reserve the right to suspend or terminate accounts that violate these terms or contain false information.

3. Ticketing, Payments, and Refund Policy

  • Event ticket payments are processed securely via Stripe. While Stripe acts as the payment gateway, ticket sales are handled directly by us.

  • Ticket refunds follow this structure:

    • Full refund: if cancellation is requested at least 10 weeks before the event

    • 50% refund: if cancellation is requested between 6 to 10 weeks before the event

    • No refund: if cancellation is requested less than 6 weeks before the event

  • If the event is cancelled by us, participants are eligible for a full refund of the ticket price.

  • As an alternative to cancellation, we may allow transfer of ticket value to future events (subject to availability and internal approval)

  • Ticket transfers are limited to one occurrence per registration and may be subject to administrative fees or confirmation

We reserve the right to cancel or reschedule events and will provide reasonable notice if so. For virtual or international attendees, we are not liable for access limitations due to third-party platforms or time zone differences.

4. Intellectual Property Rights

All content on the Site—such as event branding, text, images, logos, video, downloadable brochures, and audio—is the exclusive property of Thought Xchange Network or our partners and is protected by copyright, trademark, and other laws. You may not:

  • Copy, distribute, modify, or create derivative works

  • Use any branding or logos without prior written consent

  • Use automated tools (bots, scrapers, crawlers) to extract content from the Site

By registering for an event, you grant us a limited, royalty-free, non-exclusive license to use your organization’s name and logo for event-related materials, both current and future, including websites, printed brochures, sponsor/exhibitor directories, social media, and press materials. If you wish to opt out of this usage, please contact us and we will promptly remove your logo from future materials.

5. Acceptable Use Policy

You agree not to:

  • Use the Site for any unlawful, misleading, or fraudulent purposes

  • Attempt to interfere with or disrupt the Site’s infrastructure or access credentials

  • Use any device, software, or routine that interferes with the proper working of the Site

  • Upload viruses or malicious code

  • Engage in unsolicited communications (spam)

We reserve the right to investigate and take legal action against violations of this policy.

6. Third-Party Links and Services

Our Site may include links to third-party websites, services, or integrations (e.g., payment processors, video platforms, calendar widgets, CRM and marketing platforms like HubSpot). We are not responsible for the content or practices of such third parties. Accessing these services is at your own risk and subject to their respective terms and privacy policies.

7. Disclaimers and Limitation of Liability

The Site and services are provided “as is” and “as available” without warranties of any kind, either express or implied. We do not guarantee:

  • Uninterrupted or error-free access to the Site

  • Accuracy or reliability of content

  • Availability or success of events

To the fullest extent permitted by law, we disclaim liability for:

  • Direct, indirect, incidental, or consequential damages

  • Loss of profits, data, or goodwill

  • Third-party conduct or external factors beyond our control

8. Indemnification

You agree to indemnify, defend, and hold harmless Thought Xchange Network and its affiliates, employees, agents, and partners from and against any claims, losses, liabilities, damages, or expenses arising from:

  • Your use of the Site

  • Violation of these Terms

  • Violation of any applicable laws or third-party rights

9. Termination of Access

We may suspend or terminate your access to the Site at any time, for any reason, without prior notice. Upon termination, your rights to use the Site cease immediately.

10. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, USA. However, if you are a resident of Canada, the European Union, or another jurisdiction with specific consumer or privacy rights, nothing in these Terms limits any rights you may have under your local laws. For U.S.-based legal matters, you agree to submit to the exclusive jurisdiction of the courts located in Sheridan County, Wyoming.

11. Updates to These Terms

We may modify these Terms at any time. Changes will be posted with a revised effective date. Your continued use of the Site constitutes acceptance of the revised Terms.
